Welcome to Lazy Stacks. The terms "we", "us" and "our" refer to Lazy Stacks. Lazy Stacks operates this store and website, including all related information, content, features, tools, products and services, to provide you, the customer, with a curated shopping experience (the "Services"). Lazy Stacks is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights.

By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not use or access our Services.

Your rights under the Australian Consumer Law. Our products come with guarantees that cannot be excluded under the Australian Consumer Law, and customers in New Zealand have equivalent rights under the Consumer Guarantees Act. Nothing in these Terms excludes, restricts or modifies any right or remedy you have under those laws. Where these Terms are inconsistent with those laws, those laws prevail.

1. Access and Account

By agreeing to these Terms, you confirm that you are at least the age of majority in your state or territory of residence, or that you are using the Services with the involvement of a parent or guardian.

To use the Services, including browsing our store or purchasing products, you may be asked to provide information such as your email address and your billing, payment and shipping details. You confirm that the information you provide is correct, current and complete, and that you have the right to provide it.

You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign or license your account to anyone else.

2. Our Products

We make every effort to show our products accurately. However, colours and product appearance may look different on your screen depending on your device and its settings.

Each piece is printed to order. Product descriptions may change at any time without notice. We may discontinue any product at any time and may limit the quantities of any product we offer to any person or region.

3. Orders

When you place an order, you are making an offer to purchase. We may accept or decline your order at our discretion, and your order is not accepted until we confirm it. We must receive and process your payment before your order is accepted. Because each piece is printed to order, we may be unable to cancel or change an order once it has been accepted. If we decline, change or cancel an order, we will contact you using the email address, billing address and/or phone number provided with the order, and refund any amount you have paid for items we cannot supply.

Returns and exchanges are handled in accordance with our Refund Policy, which operates alongside your rights under the Australian Consumer Law.

You confirm that your purchases are for your own personal or household use and not for commercial resale.

4. Prices and Billing

All prices are in Australian dollars (AUD) and include GST where applicable. Prices, discounts and promotions may change without notice. The price you pay is the price in effect when you place your order, as shown in your order confirmation email. Shipping charges, and any duties or import charges for orders outside Australia, are shown at checkout where possible.

We may run promotions from time to time that are governed by their own terms. If the terms of a promotion conflict with these Terms, the promotion terms apply to that promotion.

You agree to provide current, complete and accurate purchase, payment and account information, and to keep it up to date so we can complete your transactions and contact you as needed. You confirm that you are authorised to use the payment method you provide.

5. Shipping and Delivery

Delivery times are estimates only and are not guaranteed. Delays can be caused by carriers, customs processing or events outside our control. Full details, including rates and our approach to lost or missing parcels, are set out in our Shipping Policy. Risk of loss passes to you on delivery to the address provided at checkout.

6. Intellectual Property

The Services, including all trademarks, brands, characters (including Sloth Boy), graphics, designs, text, images, video and audio, and the selection and arrangement of them, are owned by Lazy Stacks or its licensors and are protected by Australian and international copyright, trade mark and other intellectual property laws.

You may use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material from the Services without our prior written consent.

The Lazy Stacks name, logos, designs and slogans, including "Lazy is what they see. Stacks is what he's building." and "By no rules but yours.", are trademarks of Lazy Stacks and must not be used without our prior written permission. Shopify's name and logos are trademarks of Shopify. All other names and logos on the Services belong to their respective owners.

7. Optional Tools

We may give you access to tools provided by third parties, which we do not monitor or control. Your use of these tools is at your own discretion, and you should review the terms on which the relevant provider offers them. Any new features or tools we add to the Services are also subject to these Terms.

8. Third-Party Links

The Services may contain links to websites operated by third parties. We are not responsible for the content, accuracy or practices of those websites, and you visit them at your own risk. Please review the policies of any third party before you transact with them. Questions or complaints about third-party products and services should be directed to that third party.

9. Relationship with Shopify

Lazy Stacks is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Lazy Stacks. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Lazy Stacks, including any injury, damage or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with Lazy Stacks.

10. Privacy

All personal information we collect through the Services is handled in accordance with our Privacy Policy. Certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit may be shared with Shopify and with third parties located in countries other than where you live. Our Privacy Policy explains how we, Shopify and our partners use your personal information.

11. Feedback and Reviews

If you send us ideas, suggestions, reviews, photos or other content ("Feedback"), you grant us a worldwide, royalty-free licence to use, reproduce, modify, publish and display that Feedback in any medium, including to promote the Services. We are not obliged to keep Feedback confidential, pay for it or respond to it.

You confirm that you own or have the rights to your Feedback, that you have disclosed any incentive you received for it, and that it does not infringe anyone's rights or contain anything unlawful, offensive or misleading. We may remove or edit Feedback at our discretion.

12. Errors, Inaccuracies and Omissions

Information on the Services may occasionally contain errors relating to product descriptions, pricing, promotions, shipping charges, delivery times or availability. We may correct errors and update information at any time. If an error affects an order you have placed, we will contact you, and if we cancel the order we will refund any amount you have paid.

13. Prohibited Uses

You may use the Services for lawful purposes only. You must not use the Services: (a) for any unlawful or malicious purpose; (b) to breach any law or regulation; (c) to infringe our intellectual property or anyone else's; (d) to harass, abuse, defame or harm any person; (e) to transmit false or misleading information; (f) to send spam or unsolicited advertising; (g) to impersonate any person or entity; or (h) in any way that restricts anyone else's use of the Services or may harm Lazy Stacks, Shopify or our customers.

You also agree not to: (a) upload viruses or other malicious code; (b) copy, resell or exploit any part of the Services; (c) collect or track other people's personal information; (d) phish or attempt to deceive us or our customers; (e) use robots, scrapers, data extraction tools or automated means, including AI agents, to access the Services except as permitted in section 14; or (f) bypass or interfere with our security measures. We may suspend or terminate your access if you breach these Terms.

14. Agents

14.1 This section applies if you use, allow or deploy an Agent to access or interact with the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity without direct supervision.

14.2 No Agent may access or interact with the Services unless it identifies itself and operates in strict accordance with section 14.4 at all times. No Agent may access the Services if we have asked it not to.

14.3 We may limit, including by technical measures, whether and how any Agent accesses or interacts with the Services.

14.4 Agents must: (i) in all HTTP/HTTPS requests, identify themselves by including "Agent/" followed by the Agent's name in the request's user agent string; (ii) not conceal that they are an Agent, including by mimicking human behaviour or completing or circumventing CAPTCHAs; (iii) respond truthfully to any question about whether interactions come from a human or a computer; and (iv) not circumvent any measure intended to block, limit or control Agent access.

15. Termination

We may terminate these Terms or your access to the Services at any time. You remain liable for all amounts due up to the date of termination. Sections that by their nature should continue after termination will continue to apply, including Intellectual Property, Feedback, Limitation of Liability, Indemnity and Governing Law.

16. Disclaimer

Information on the Services is provided for general information purposes. To the extent permitted by law, and subject always to your rights under the Australian Consumer Law, we do not give any warranty that the Services will be uninterrupted, timely, secure or error-free.

Nothing in these Terms excludes the consumer guarantees that apply to our products under the Australian Consumer Law, including that our products will be of acceptable quality, fit for any disclosed purpose and match their description.

17. Limitation of Liability

To the extent permitted by law, Lazy Stacks, Shopify and our respective partners, officers, employees, affiliates, agents, contractors and service providers are not liable for any indirect or consequential loss, including lost profits, lost revenue or loss of data, arising from your use of the Services.

Where our liability for failure to comply with a consumer guarantee can lawfully be limited, it is limited to, at our option, replacing or repairing the goods, supplying equivalent goods, or refunding the price paid. This does not apply where it would not be fair and reasonable for us to rely on this limitation, and nothing in this section limits your rights under the Australian Consumer Law.

18. Indemnity

To the extent permitted by law, you agree to indemnify Lazy Stacks, Shopify and our affiliates, partners, officers, employees, agents, contractors and service providers against any losses, damages, liabilities or claims, including reasonable legal costs, payable to a third party arising from: (1) your breach of these Terms; (2) your breach of any law or the rights of a third party; or (3) your misuse of the Services.

19. Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, it will be enforced to the fullest extent permitted by law, and the remaining provisions will not be affected.

20. Waiver and Entire Agreement

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. These Terms, together with any policies posted by us on this site, form the entire agreement between you and us about the Services and replace any earlier agreements or versions of these Terms.

21. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may transfer or assign these Terms and our rights and obligations, provided this does not reduce your rights under the Australian Consumer Law.

22. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You and Lazy Stacks submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.

23. Headings

Headings are included for convenience only and do not affect the meaning of these Terms.

24. Changes to These Terms

You can review the current version of these Terms at any time on this page. We may update these Terms by posting changes on our website and will notify you of material changes as required by law. Changes take effect from the date they are posted unless stated otherwise. Your continued use of the Services after changes are posted means you accept the updated Terms. Changes do not apply to orders placed before the change.
